1.Overview
Welcome to MemoryLasso, an event media collection platform that helps hosts gather photos and videos from their event attendees. These Terms of Service (“Terms”) govern your access to and use of the MemoryLasso platform, including our website, APIs, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
MemoryLasso involves three primary parties in any interaction:
- Guests — Individuals who upload photos and videos to an event.
- Hosts — Individuals or organizations that create events and collect media from guests.
- The Platform (MemoryLasso) — The technology service that facilitates the connection between Guests and Hosts.
2.Definitions
- Guest Content
- Photos, videos, and any other media uploaded by a Guest to an Event through the Service.
- Host Content
- Event descriptions, settings, branding, and any other content created by a Host on the platform.
- User Content
- The collective term for all Guest Content and Host Content on the platform.
- Event
- A media collection instance created by a Host, identified by a unique 6-character code, to which Guests can upload content.
- Share Freely
- A Guest upload tier where the Guest remains anonymous and grants the Host a broader license for event-related use of their content.
- Stay Connected
- A Guest upload tier where the Guest provides identifying information (e.g., name, email) and retains tighter control over how their content may be used commercially.
- Claim Token
- A unique, non-guessable token provided to Share Freely Guests at the time of upload that allows them to later claim and manage their content without having created an account.
- Producer
- A professional Host such as a photographer, videographer, or event planner who uses the Service in a professional capacity.
- Pass-Through Model
- A storage approach where MemoryLasso temporarily holds media only long enough for the Host to export or download it. Content is deleted after the retention period.
- Permanent Storage Model
- A paid storage option where media is retained on the platform for an extended or indefinite period, subject to the Host’s subscription and storage tier.
3.Guest Terms
3.1 Ownership Retention
Guests retain all intellectual property rights, including copyright, in any content they upload to the Service. Uploading content to MemoryLasso does not transfer ownership of that content to the Host, to MemoryLasso, or to any third party.
Your photos and videos are yours. Sharing them through MemoryLasso grants limited licenses as described below, but you remain the owner at all times.
3.2 Tiered License Grant to Host
When you upload content to an Event, you grant the Host a license to use that content. The scope of that license depends on which upload tier you select:
Anonymous upload — broader license

- ✓ Create derivative works (collages, slideshows)
- ✓ Use in event memorabilia (photo books, prints)
- ✓ Share with event vendors (DJ, venue, planner)
Identified upload — personal use + consent for commercial

- ✓ Create derivative works (collages, slideshows)
- ⚠ Commercial use requires Guest consent
- ⚠ Vendor sharing requires Guest consent

3.3 License Grant to MemoryLasso
By uploading content to the Service, you grant MemoryLasso a non-exclusive, worldwide, royalty-free license to host, store, transfer, display, reproduce, and process your content solely for the purpose of operating and providing the Service.
3.4 Representations and Warranties
By uploading content to the Service, you represent and warrant that:
- You own the content or have obtained all necessary rights and permissions to upload and license it as described in these Terms.
- The content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
- If the content depicts identifiable individuals, you have obtained their consent to upload and share the content through the Service.
- The content does not contain illegal material, including but not limited to child exploitation material, content that promotes violence, or content that violates applicable laws.
3.5 Right of Withdrawal and Deletion
Guests have the right to request deletion of their uploaded content, subject to the following provisions:
Share Freely Guests
At the time of upload, Share Freely Guests receive a Claim Token. This token is the only mechanism by which anonymous uploads can be identified and managed. To request deletion, present your Claim Token through the Service’s content management interface.
Stay Connected Guests
Stay Connected Guests can manage and delete their content through their account or by contacting us directly.
Scope of Deletion
Deletion applies to content stored on the MemoryLasso platform. Once content has been exported or downloaded by a Host, we cannot control or delete copies that exist outside our platform. The Host’s license to previously exported content survives deletion from the platform, but the Host must still respect the scope of the license granted under the applicable tier.
4.Host Terms
4.1 Nature of Rights
As a Host, your rights to Guest Content are granted under a license, not a transfer of ownership. You do not own Guest Content uploaded to your Events. You receive a license to use that content as specified by the upload tier selected by each Guest.
4.2 Permitted Uses
Under both tiers, Hosts are permitted to:
- View, download, and store Guest Content on personal devices and cloud storage.
- Share Guest Content on social media in connection with the event.
- Create derivative works such as collages, slideshows, photo books, and highlight reels.
Additional Permissions — Share Freely Tier
- Use content in event memorabilia such as printed photo books, thank-you cards, and commemorative items.
- Share content with event vendors (DJs, venues, planners, caterers) for their portfolios and promotional materials.
Additional Permissions — Stay Connected Tier
Any commercial or vendor-related use of Stay Connected content requires the prior consent of the Guest. MemoryLasso may provide tools to facilitate requesting such consent, but the responsibility lies with the Host to obtain it.
4.3 Prohibited Uses
Regardless of the upload tier, Hosts may not:
- Use as stock photography or footage — Guest Content may not be sold, licensed, or distributed through stock media platforms.
- Use in unrelated advertising — Guest Content may not be used in advertisements, marketing campaigns, or promotional materials that are unrelated to the original event.
- Imply false endorsement — Guest Content may not be used in a manner that falsely implies a Guest’s endorsement of a product, service, or brand.
- Sublicense to third parties — Hosts may not grant sublicenses to Guest Content. Sharing for event-related purposes (as permitted above) is not a sublicense.
4.4 Producer / Professional Host Addendum
If you are a Producer (photographer, videographer, event planner, or other professional) using the Service in a professional capacity, the following additional terms apply:
- Client deliverables: You may include Guest Content in client deliverables (e.g., edited albums, highlight videos) consistent with the applicable tier license.
- Portfolio use: You may use Guest Content in your professional portfolio, provided such use is directly related to the event you were hired for and you comply with the applicable tier restrictions.
- White-label use: Producers using MemoryLasso under their own branding must still comply with these Terms and must inform their clients that MemoryLasso’s Terms govern Guest Content.
- Tier awareness: Producers must respect the tier selected by each Guest. If content is uploaded under the Stay Connected tier, the Producer must obtain Guest consent before any commercial use, even if the Producer’s client requests otherwise.
4.5 Likeness Rights
Event media may contain identifiable individuals. Hosts are responsible for the reasonable use of such content and must consider the privacy and dignity of identifiable individuals when using or sharing Guest Content.
MemoryLasso does not mediate disputes between Hosts and identifiable individuals. If an identifiable individual objects to the use of their likeness, the Host is responsible for addressing the concern.
4.6 Storage Options
MemoryLasso offers two storage approaches for event media:
Pass-Through Model
Media is temporarily held on MemoryLasso while the Host exports or downloads it. After the retention period expires, content is permanently deleted from our servers. This is the default model for free-tier events.
Permanent Storage Model
For paid tiers, media can be retained on the platform for an extended or indefinite period. Storage duration and capacity depend on the Host’s subscription plan. If a subscription lapses, content reverts to Pass-Through retention policies.
5.Platform Terms
5.1 No Ownership Claim
MemoryLasso does not claim any ownership rights in User Content. All intellectual property rights in User Content remain with the respective content creators (Guests) or event organizers (Hosts), as applicable.
5.2 Operational License
The license granted to MemoryLasso (as described in Section 3.3) is strictly operational. We use this license solely to provide the Service, including but not limited to: hosting, storage, thumbnail generation, format conversion, content delivery, export processing, and backup.
5.3 What We Will Never Do
MemoryLasso makes the following commitments regarding your content:
- We will never sell your content. Your photos and videos will never be sold to third parties, data brokers, or advertisers.
- We will never use your content for advertising. Your content will not appear in our marketing materials, advertisements, or promotional campaigns without your explicit, separate consent.
- We will never train AI models on your content. Your photos and videos will not be used to train machine learning models, facial recognition systems, or any form of artificial intelligence.
- We will never share your content with unrelated third parties. Your content is only shared with parties you have authorized (the Event Host and their designated export destinations).
- We will never hold your content hostage. You will always have the ability to export, download, and delete your content from our platform, regardless of your subscription status.
5.4 Content Moderation
MemoryLasso reserves the right to remove content that violates these Terms, applicable law, or our content policies. We may use automated systems and human review to identify potentially violating content. If content is removed, we will make reasonable efforts to notify the affected user.
We do not proactively monitor or review all uploaded content. The responsibility for the legality and appropriateness of uploaded content rests with the uploading Guest and the Event Host.
5.5 Data Retention
Retention periods depend on the storage model selected by the Host:

5.6 Limitation of Liability
To the maximum extent permitted by applicable law, MemoryLasso and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising from or related to your use of the Service.
MemoryLasso’s total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to MemoryLasso in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.
MemoryLasso is not responsible for the actions of Hosts or Guests, including how they use content obtained through the Service. We provide the platform; the parties are responsible for their conduct.
6.General Provisions
6.1 Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify users through the Service (such as an in-app banner) and update the “Last Updated” date at the top of this page.
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account and content.
6.2 Account Termination
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We may suspend or terminate your account if you violate these Terms.
Upon termination, your right to use the Service ceases. We will retain your data for the applicable retention period (see Section 5.5) to allow for export, after which it will be permanently deleted.
6.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of laws provisions. Any disputes arising from or related to these Terms or the Service shall be resolved in the state or federal courts located in Texas.
6.4 Severability
If any provision of these Terms is held to be invalid, unenforceable, or illegal, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
